Terms & Conditions
Effective date: 1 September 2026 · Last updated: 1 September 2026
These Terms & Conditions ("Terms") form a legally binding agreement between you (and, where applicable, the organisation you represent) and GeoInsightAI, the operator of the GeoSense AI location-intelligence platform (the "Service"). Please read them carefully before using the Service.
1. Acceptance of terms
By accessing, browsing, registering for, or using the Service — including the marketing website, web application, APIs, exports, and reports — you confirm that you have read, understood, and agree to be bound by these Terms and by our Disclaimer. If you do not agree, you must not use the Service.
If you accept these Terms on behalf of a company, agency, or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
2. Definitions
- "Service" — the GeoSense AI platform, all modules (map intelligence, GeoAnalytics, route optimization, Digital Twin / GeoTwin, intelligence reports), documentation, and related services.
- "Customer Data" — data, files, datasets, connection credentials, geometries, or content you or your users upload, connect, or generate within the Service.
- "Output" — insights, scores, summaries, narratives, routes, emission estimates, maps, dashboards, and reports produced by the Service.
- "Third-Party Data" — data obtained from external providers such as OpenStreetMap, Google Maps Platform, HERE, Amadeus, Climatiq, open government datasets, and any customer-connected source.
3. Nature of the service
The Service is an analytical and decision-support tool that combines interactive maps, open and licensed geospatial data, statistical processing, and large language models (LLMs). It is provided for informational, exploratory, and planning purposes only. It is not a surveying instrument, a certified valuation tool, a safety-critical system, a navigation system for real-time driving, an emergency service, a regulatory compliance system, or a system of record.
The Service must not be used as the sole basis for any decision with legal, financial, medical, environmental, structural, or life-safety consequences.
4. Eligibility, accounts & security
- You must be at least 18 years old and legally capable of entering into contracts.
- You are responsible for the accuracy of registration information and for all activity under your credentials.
- You must keep passwords, API keys, and connector credentials confidential and notify us promptly at hello@geoinsightai.com of any suspected unauthorised access.
- Accounts, licences, and seats may not be shared, resold, sublicensed, or transferred without our written consent.
- Demonstration or trial accounts may contain synthetic data and may be reset or removed at any time without notice.
5. Subscriptions, fees & taxes
Paid plans, usage limits, and billing cycles are those set out in your order form, online checkout, or written quotation. Unless stated otherwise: fees are quoted exclusive of applicable taxes, are billed in advance, are non-refundable except where required by law, and renew automatically for successive periods until cancelled. We may suspend access for non-payment after reasonable notice. We may change pricing prospectively, with notice taking effect at the start of your next renewal term.
Usage-based components (for example map tile loads, routing calls, AI tokens, or third-party API consumption) may be metered, and you remain responsible for the cost of third-party services you enable using your own keys or accounts.
6. Acceptable use
You agree not to, and not to permit any user to:
- use the Service for any unlawful, fraudulent, deceptive, discriminatory, defamatory, harassing, or infringing purpose;
- use the Service for surveillance, stalking, profiling of individuals, redlining, or any activity that unlawfully targets people by race, religion, ethnicity, health status, sexual orientation, political affiliation, or other protected characteristic;
- attempt to re-identify individuals from aggregated or anonymised data;
- upload personal, sensitive, health, biometric, payment-card, or classified data without a lawful basis and appropriate agreements in place;
- scrape, harvest, mirror, or bulk-extract data or Output except through documented export features and within third-party licence limits;
- reverse engineer, decompile, benchmark for competitive purposes, or attempt to derive source code or model weights;
- probe, penetration-test, overload, or interfere with the Service or its infrastructure without our prior written authorisation;
- circumvent usage limits, authentication, tenancy isolation, rate limits, or licence controls;
- use Output to train, fine-tune, or evaluate a competing model or product;
- misrepresent Output as certified, audited, surveyed, or professionally verified information.
We may investigate suspected violations and suspend access immediately where necessary to protect the Service, other customers, or third parties.
7. Customer data, privacy & security
You retain all rights in your Customer Data. You grant us a limited, non-exclusive licence to host, process, transmit, and display Customer Data solely to provide, secure, support, and improve the Service in accordance with these Terms.
You are the controller of any personal data you introduce and you warrant that you have all necessary rights, notices, consents, and lawful bases for its processing, including for onward transfer to sub-processors and AI providers used by the Service. Where required, the parties will enter into a separate data-processing agreement.
We apply commercially reasonable technical and organisational safeguards, including encryption in transit, tenant isolation, role-based access control, and audit logging. No method of transmission or storage is completely secure, and we do not warrant that the Service cannot be compromised.
You are responsible for maintaining your own backups of Customer Data and exported reports.
8. Third-party data, APIs & licences
The Service depends on Third-Party Data and third-party services which we neither own nor control. Their availability, accuracy, coverage, pricing, and terms may change or terminate without notice. Your use of Third-Party Data is subject to the licences of those providers, including the Open Database Licence (ODbL) for OpenStreetMap and the Google Maps Platform Terms of Service. You are responsible for maintaining required attributions and for complying with those licences, including any restriction on caching, redistribution, or derived-data use.
Where you supply your own API keys or database connections, you authorise the Service to use them on your behalf and you accept responsibility for the associated costs, quotas, and terms.
9. AI-generated output
Parts of the Service use generative AI and statistical models. AI Output is probabilistic and may be incomplete, outdated, biased, or factually incorrect ("hallucinated"), even when presented confidently or with numeric scores, percentages, or confidence indicators. Output is generated automatically without human review.
You must independently verify any Output before relying on it, and you accept sole responsibility for decisions taken on the basis of Output. Emission figures (including GLEC-aligned estimates), risk flags, demand or footfall estimates, valuations, predictive-maintenance indications, and route recommendations are estimates and not certified measurements or audited disclosures.
10. Intellectual property
The Service, its software, design, models, prompts, templates, documentation, trademarks, and all related intellectual property are and remain the exclusive property of GeoInsightAI and its licensors. Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business purposes. No other rights are granted by implication.
Feedback you voluntarily provide may be used by us without restriction or obligation.
11. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service with at least reasonable care, use it only for purposes of this agreement, and not disclose it except to personnel and advisers bound by comparable duties, or as required by law.
12. Availability, changes & support
Unless a written service-level agreement applies, the Service is provided without any uptime commitment. We may modify, add, deprecate, or discontinue features, modules, data layers, or integrations, and may perform scheduled or emergency maintenance. We will use reasonable efforts to give advance notice of material adverse changes.
13. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, THIRD-PARTY DATA, AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER GEOINSIGHTAI NOR ITS OFFICERS, EMPLOYEES, CONTRACTORS, PARTNERS, OR LICENSORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, ANTICIPATED SAVINGS, DATA, OR REPUTATION, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES ACTUALLY PAID BY YOU TO US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100. WHERE THE SERVICE IS PROVIDED FREE OF CHARGE, ON TRIAL, OR IN DEMONSTRATION MODE, OUR LIABILITY IS LIMITED TO USD 100.
These limitations apply to the fullest extent permitted by applicable law and do not exclude liability that cannot lawfully be excluded, such as liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
15. Indemnification
You agree to defend, indemnify, and hold harmless GeoInsightAI, its affiliates, and their respective officers, employees, and agents from and against all claims, demands, proceedings, losses, liabilities, damages, fines, penalties, costs, and reasonable legal fees arising out of or relating to: (a) your use or misuse of the Service or Output; (b) Customer Data, including any claim that it infringes rights or was processed unlawfully; (c) your breach of these Terms or of any third-party data licence; (d) decisions taken by you or your users in reliance on Output; or (e) your violation of any applicable law or regulation.
16. Export controls, sanctions & anti-corruption
You represent that you are not located in, organised under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive sanctions, and that you are not a restricted or denied party. You will not export, re-export, or make the Service available in violation of applicable export-control, sanctions, or anti-bribery laws.
17. Term, suspension & termination
These Terms apply for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate access immediately for material breach, suspected unlawful or abusive use, non-payment, security risk, or where required by law or by a third-party provider. On termination, your right to use the Service ends; you should export Customer Data beforehand, as we may delete it after a reasonable retention period. Sections relating to data licences, intellectual property, confidentiality, disclaimers, liability limits, indemnity, and governing law survive termination.
18. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disaster, war, civil unrest, epidemic, labour action, governmental action, utility or internet failure, cyber-attack, or failure of an upstream data or cloud provider.
19. Changes to these terms
We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where reasonably practicable, by notice within the Service. Continued use after the effective date constitutes acceptance. If you do not accept the updated Terms, you must stop using the Service.
20. Governing law & dispute resolution
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-law rules, unless a mandatory law of your place of residence requires otherwise. The parties will first attempt in good faith to resolve any dispute through negotiation for thirty (30) days. Failing resolution, the courts of Dubai, UAE shall have exclusive jurisdiction, save that either party may seek injunctive relief to protect its intellectual property or confidential information in any competent court. To the extent permitted by law, each party waives any right to a jury trial and to participate in a class or representative action.
21. General provisions
- Entire agreement. These Terms, together with the Disclaimer and any order form, constitute the entire agreement and supersede prior discussions.
- Severability. If a provision is held unenforceable, the remainder stays in force and the provision is limited to the minimum extent necessary.
- No waiver. Failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale of assets.
- No third-party beneficiaries, except our licensors as regards their data.
- Independent parties. No partnership, agency, franchise, or employment relationship is created.
- Language. The English version prevails over any translation.
